1. Acceptance of Terms

By using Rephase, the user fully accepts these Terms and Conditions. If you do not accept these terms, you are not permitted to use the service.

2. Description of Service

Rephase is a web service that allows users to upload audio files in MP3, M4A, WAV, FLAC, AAC and AIFF formats and receive them converted with pitch adjusted to 432 Hz, in MP3 or M4A format of their choice. The service includes a real frequency verification function via spectral analysis (Fourier transform) and the issuance of a certification report. The service does not retain audio files after processing.

3. Registration and Account

The user must provide a valid, personal, and permanent email address to register. Temporary, disposable, anonymous alias, or single-use email addresses (so-called "temp mail") are not accepted. Rephase verifies the validity of the email address at the time of registration. Accounts created with non-compliant addresses may be suspended or deleted without notice and without refund.

The user is responsible for keeping their credentials confidential. Creating accounts on behalf of third parties without authorization is prohibited. Rephase reserves the right to suspend or delete accounts that violate these terms.

4. Subscription and Payment

The service is available under the following plans: (a) monthly subscription at CHF 4.95/month; (b) annual prepaid subscription at CHF 49.00/year, billed in a single advance payment. Prices are expressed in Swiss Francs (CHF) and include applicable taxes. Rephase reserves the right to update pricing with at least 30 days' notice.

Payments are processed via Stripe and are subject to Stripe's terms. Subscriptions renew automatically unless cancelled. Users may cancel their subscription at any time from their profile. Cancellation takes effect at the end of the current billing period. No refunds are provided for partially used periods, except as required by law.

6. User Content

The user declares and warrants, under their sole responsibility, that they own all rights necessary to the uploaded audio files or that they have obtained explicit authorisation from the rights holder. Rephase merely provides a technical pitch-processing tool (frequency transposition) and does not perform any reproduction, distribution, communication to the public, or creative transformation of content within the meaning of copyright law. The service does not recognise, identify, index, or archive uploaded tracks. Processing is carried out exclusively in a technical and anonymous manner.

Rephase is in no way liable for any infringement of third-party rights by the user. The user shall indemnify and hold harmless Rephase and its controller from any claim, damage, penalty, or legal expense arising from the unauthorised use of copyright-protected content.

Rephase makes no claim to ownership of user content. Audio files are processed solely to provide the requested service and automatically deleted from the servers within 60 (sixty) seconds of the completion of processing via a certified server-side process. Deletion is permanent and irreversible.

Uploading unlawful, defamatory, obscene, or third-party rights-infringing content is prohibited, including copyright, neighbouring rights, and personality rights. The user is solely responsible for the legality of the files uploaded in their country of residence and in all countries in which they intend to use the converted files.

7. Limitation of Liability

Rephase is provided "as is." The data controller does not guarantee that the service will be error-free or uninterrupted. To the extent permitted by applicable law, the controller's liability is limited to the amount paid by the user in the last 3 months.

8. Intellectual Property

The name Rephase, the logo, source code, user interface and all elements of the service are the exclusive property of the controller. Any reproduction or unauthorised use is prohibited.

9. Changes to the Service and Terms

The controller reserves the right to modify the service and these terms. Material changes will be communicated with at least 15 days' notice. Continued use of the service after notification constitutes acceptance.

10. Governing Law and Jurisdiction

These terms are governed by Swiss law. For disputes involving consumers resident in the European Union, the mandatory provisions of the consumer's country of residence apply. Any dispute shall be subject to the jurisdiction of the courts at the controller's place of residence in Switzerland.

Users residing outside Switzerland and the European Union access the service at their own responsibility and are solely responsible for verifying compliance with the applicable laws in their country of residence.
